1. Agreement to Terms

By accessing and using the services provided by Liquor Solutions LLC ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

Liquor Solutions LLC provides software development services, including but not limited to:

• Website development and design
• iOS mobile application development
• Android mobile application development
• Custom software solutions
• Technical consulting and support
• Maintenance and updates for delivered projects

3. Service Agreement and Contracts

3.1 Project Proposals

All projects begin with a detailed proposal outlining scope, timeline, and pricing. Services commence only upon written acceptance of the proposal and execution of a separate service agreement.

3.2 Scope Changes

Any changes to the agreed-upon project scope must be documented in writing and may result in additional charges and timeline adjustments.

4. Payment Terms

• Payment schedules will be outlined in individual project agreements
• Invoices are due within 30 days of receipt unless otherwise specified
• Late payments may incur a 1.5% monthly service charge
• All prices are in USD unless otherwise stated
• Refunds are subject to the terms outlined in individual agreements

5. Intellectual Property Rights

5.1 Client-Owned Content

You retain ownership of all content, data, and materials provided to us for use in your project.

5.2 Developed Solutions

Upon full payment, you will receive ownership rights to the custom software solutions developed specifically for your project, excluding any pre-existing proprietary tools, frameworks, or third-party components.

5.3 Company Intellectual Property

We retain ownership of our proprietary development tools, methodologies, and general knowledge gained during the project.

6. Client Responsibilities

To ensure successful project completion, clients agree to:

• Provide timely feedback and approvals
• Supply necessary content, assets, and access credentials
• Communicate requirements clearly and promptly
• Make payments according to agreed schedules
• Comply with all applicable laws and regulations

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. We will correct any material defects at no additional charge for a period specified in your service agreement.

7.2 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL LIQUOR SOLUTIONS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability shall not exceed the total amount paid by you for the specific service giving rise to the claim.

9. Confidentiality

We agree to maintain the confidentiality of all proprietary information shared by you during the course of our engagement. This obligation survives termination of our relationship.

10. Termination

10.1 Termination by Either Party

Either party may terminate services with 30 days' written notice. You will be responsible for payment of all work completed up to the termination date.

10.2 Immediate Termination

We reserve the right to terminate services immediately in case of non-payment, breach of these Terms, or if we determine that continuing the relationship is not in our best interest.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the state in which Liquor Solutions LLC is incorporated. Any disputes arising from these Terms or our services shall be resolved through binding arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services constitutes acceptance of any modifications.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect.
